Welcome to Wakachina.com (the "Site"), operated by WAKA CHINA TRAVEL CO.,LTD. ("we," "us," "our"). We provide an online platform that connects travelers ("Travelers," "you," "your") with independent, third-party providers of tour guide, itinerary planning, and private charter services ("Service Providers").
These Terms of Service ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.
1. Eligibility
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you have the right, authority, and capacity to enter into this agreement.
2. Description of Services
Wakachina.com acts as a marketplace and technology facilitator. We do not own, manage, or control the Service Providers, nor are we an employer or agent of the Service Providers. We are not a party to the contracts formed directly between Travelers and Service Providers.
- For Travelers: Our Services allow you to browse profiles of Service Providers, read reviews, and book their services directly.
- For Service Providers: Our Services allow you to create a profile, advertise your services, and connect with potential Travelers.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
4. Bookings and Financial Terms
- Booking Request: Submitting a booking request constitutes an offer to hire the Service Provider under the terms presented. The booking is only confirmed once the Service Provider accepts your request and you receive a confirmation email from us.
- Pricing and Payment: All prices are listed in US Dollars. You agree to pay the total amount specified at the time of booking. Payment is processed securely through our platform. The total fee includes the Service Provider's fee and our service fee.
- Service Provider Fees: Service Providers set their own rates. We are not responsible for the quality, timing, or any other aspect of the service delivered by the Service Provider.
- Taxes: Travelers are responsible for any local taxes, levies, or fees that may be applicable to the services provided.
5. Cancellation and Refund Policy
- By Traveler: Cancellation policies are set by the individual Service Providers and are displayed at the time of booking. Please review them carefully. Refunds, if applicable, will be processed according to the Service Provider's stated policy.
- By Service Provider: If a Service Provider cancels a confirmed booking, we will notify you promptly and provide a full refund. We are not liable for any additional costs you may incur due to such a cancellation.
- By Wakachina: We reserve the right to cancel any booking at our discretion for reasons including but not limited to fraud, safety concerns, or platform errors. In such cases, a full refund will be issued.
6. User Conduct and Responsibilities
You agree not to:
- Use the Services for any unlawful purpose.
- Post false, misleading, or defamatory content.
- Harass, abuse, or harm other users or Service Providers.
- Impersonate any person or entity.
- Use the Services to solicit business outside of the Wakachina.com platform for the purpose of circumventing our fees.
- Infringe upon the intellectual property rights of others.
7. Limitation of Liability
To the fullest extent permitted by law, Wakachina.com, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services;
- Any conduct or content of any third party (including Service Providers);
- Any content obtained from the Services; and
- Unauthorized access, use, or alteration of your transmissions or content.
Your sole and exclusive remedy against Wakachina.com for any dispute is to stop using the Services. Our total cumulative liability to you for all claims is limited to the greater of (a) the amount you have paid us in the last six months, or (b) one hundred US dollars (USD $100).
8. Intellectual Property
The Wakachina.com website, its original content, features, functionality, and logo are and will remain the exclusive property of WAKA CHINA TRAVEL CO.,LTD. and are protected by international copyright, trademark, and other intellectual property laws.
9. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of China, without regard to its conflict of law provisions.
11. Dispute Resolution
Any dispute arising from these Terms or your use of the Services shall be resolved through final and binding arbitration in Shanghai,China in accordance with the rules of China Commercial Arbitration Association. You agree to waive your right to a class-action lawsuit.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes via email or a prominent notice on our website. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
